Terms and Conditions

Deer Lake Designs Custom Furniture Agreement

  1. Parties and accepted proposal. Deer Lake Designs (Maker) and the customer identified in the accepted proposal agree to the custom furniture project. The accepted proposal, itemized specifications, dimensions, wood, base, construction, finish references, quantities, approved drawings, delivery terms and written change orders are incorporated. Read the attached project record carefully.
  2. Custom-made and final sale. Furniture is made or finished for this customer. Custom orders are final sale and are not returnable merely for a change of mind, subject to nonwaivable consumer rights and Maker's workmanship responsibilities.
  3. Price and deposit. The accepted proposal states furniture Project Price, delivery, applicable taxes and total. A 50% deposit is due after signing. The deposit is non-refundable under these working terms because Maker commits design time, capacity and custom work, except where law requires otherwise or Maker agrees in writing. Any cancellation accounting must avoid an unlawful penalty or double recovery. The remaining balance is due before delivery, pickup or release.
  4. Prerequisites and approval. Production normally begins only after the proposal is accepted, this agreement is signed, specifications are approved and the deposit has cleared. Customer must verify dimensions, use, selections, quantities, delivery access and all written specifications. Maker need not rely on inconsistent verbal requests.
  5. Changes. Request changes in writing. Maker must confirm feasibility, revised price, payment and timeline, and both parties must approve the written change order before changed work starts. Material changes can require additional payment and a new scheduling period. Already committed work may not be recoverable.
  6. Timing. The initial custom production estimate is approximately 4-6 weeks after all required approvals, signature and cleared deposit. Dates are estimates, not guarantees. Capacity, supplier or material delays, illness, weather, transport disruption and events outside reasonable control may extend timing. Maker will communicate material delays and reasonable revised estimates. Mandatory legal remedies remain available.
  7. Natural solid wood. Solid wood is a natural material. Knots, grain variation, color variation, mineral streaks, sapwood/heartwood variation, small checks, natural voids, texture variations and natural movement with humidity or temperature can occur. Normal natural characteristics are part of handcrafted solid-wood furniture and are not automatically defects in workmanship. This does not excuse unsafe construction or workmanship failures.
  8. Live edge. Live-edge furniture intentionally preserves the natural tree edge. Knots, voids, checks, irregular edges, color and grain variation and contour differences are expected possibilities. No two live-edge pieces will be identical. Maker may stabilize, fill or otherwise address natural characteristics during normal construction while preserving natural character, consistent with approved specifications.
  9. Finish and color. Species affects stain appearance and grain affects absorption. Screens, photographs and sample references guide the intended finish but exact matches cannot always be guaranteed. Approved custom-color references form part of project specifications. Chairs and other different substrates may reasonably vary even when finished to coordinate. Customer must approve requested custom-color samples or references before finishing. Matching chairs and benches will follow the approved finish intent.
  10. Handcrafted tolerances. This is handcrafted furniture, not mass-manufactured furniture. Reasonable handmade dimensional, texture and appearance variation is not itself defective workmanship. Any critical fit or tolerance must be identified and agreed in writing before production; reasonable variation must not defeat an expressly agreed functional requirement.
  11. Pickup and curbside delivery. The proposal identifies pickup or Curbside Delivery and the agreed charge. Pickup is free at Maker's configured pickup/business location, identified in the proposal. Delivery fees are based on verified routed one-way driving distance from that location to the customer's delivery address. Delivery from 0 through 25 miles is $250 flat. Over 25 through 150 miles, the fee is $10 multiplied by the TOTAL one-way mileage, with fractional mileage rounded up to the next whole mile. Over 150 miles: Manual Delivery Quote Required; the charge must be agreed in writing. Delivery is curbside only. Maker (Deer Lake Designs) and any delivery provider are not responsible for moving furniture inside the residence or to its final placement location. Customer is responsible for receiving furniture at the curbside delivery point and arranging the people and equipment needed to move it inside and into final placement. Pickup and delivery scheduling remain subject to availability. Balance must clear before delivery, pickup or release.
  12. Access and customer delay. Customer is responsible for accurate delivery information, lawful safe access, doorway/hallway/stair/elevator clearance, parking permissions and an adult recipient. Disclose stairs or unusual handling needs before accepting delivery terms. If access is unsafe or furniture cannot fit, parties will agree on alternatives. Customer-caused delays, redelivery or storage charges require reasonable notice and a written statement of applicable charges; no unstated automatic fee is created by this agreement.
  13. Inspection. Inspect at delivery or pickup and promptly report visible damage, missing items or specification concerns. Document concerns with photos when practical. Inspection or a receipt does not waive rights concerning concealed defects or rights that cannot legally be waived.
  14. Care and environment. Maintain a reasonably stable indoor environment and humidity, avoid extreme dryness or moisture, promptly remove water, and protect furniture from direct heat and sustained sunlight. Use coasters and suitable pads; follow written care instructions. Avoid abrasive or improper cleaners, standing water, misuse and abuse. Environmental movement or damage caused by unsuitable care is not automatically a workmanship defect.
  15. Workmanship. Maker is responsible for performing the agreed work with reasonable care and skill. Notify Maker of a suspected workmanship issue and provide a reasonable opportunity to inspect and address it. Appropriate repair or another agreed lawful remedy will be considered based on the actual issue. Nothing here falsely promises a lifetime warranty or disclaims mandatory statutory warranties.
  16. Purchased chairs and components. Chairs are purchased assembled and stained or painted by Maker to coordinate. Third-party construction and component warranties, if supplied, will be identified separately. Maker remains responsible for its finishing and installation work; any allocation of third-party responsibilities is subject to applicable law.
  17. Electronic records and signatures. Parties may sign electronically with intent to be bound. Customer receives the complete agreement and can save or print it. Customer may request a paper copy without charge, update contact information, or withdraw consent for future electronic records by messaging Maker. Withdrawal does not undo an already signed agreement. A current web browser, email access and ability to save or print the page/PDF are required. The signature record binds identity, agreement version, timestamp and consent.
  18. Disputes and governing law. Parties should first attempt good-faith resolution through direct written communication. Applicable governing law and a permissible venue will be determined under applicable law unless later specified in an agreed, counsel-reviewed provision. This draft does not select an unknown state, impose arbitration or waive small-claims or mandatory consumer rights. Counsel should tailor this section to Maker's location and customer transactions.
  19. Liability. To the extent permitted by law, each party is responsible for direct loss caused by its breach. Neither party seeks recovery for speculative or avoidable losses. Any limitation must not exclude liability that cannot lawfully be limited, including applicable personal injury, fraud, intentional misconduct or mandatory consumer remedies. Counsel should review any proposed damages cap or exclusion; none is invented here.
  20. Entire agreement. This agreement, accepted proposal/specifications and mutually approved written changes contain the parties' agreement for this project. Amendments require agreement in writing. An unenforceable provision does not eliminate the remaining lawful agreement. Non-waivable law controls any conflicting provision.
